Terms of Service

1. Agreement to terms
These Terms of Service (“Terms”) are a legal agreement between you and Aldo Troiano, trading as iamcleo.ai (“Cleo”, “we”, “us”, “our”), a sole trader based in the United Kingdom.
By accessing or using the iamcleo.ai website, dashboard, API, or managed AI assistant service (collectively, the “Service”), you agree to be bound by these Terms. If you do not agree, do not use the Service.
2. Eligibility
You must be at least 18 years old to use the Service. By creating an account you represent that you meet this requirement.
3. Account registration
You register using a valid email address via our passwordless magic-link system. You are responsible for maintaining access to the email address linked to your account and for all activity that occurs under your account.
You may optionally enable two-factor authentication (2FA) for additional security. We strongly recommend it.
4. The Service
Cleo is a managed platform that runs an AI personal assistant in an isolated cloud container on your behalf. The Service includes:
- A web dashboard for configuration and management
- A personal AI assistant running in an isolated container
- Connections to messaging platforms (Telegram, Discord, Slack, WhatsApp)
- Optional integrations with third-party services (Google, Notion)
- Custom skills and scheduled tasks
We provide the infrastructure and platform. The AI responses are generated by third-party AI providers (OpenAI, Anthropic, or others you configure) and are not authored, reviewed, or endorsed by us.
5. Subscriptions & billing
5.1 Plans
The Service is offered on a paid subscription basis. Current plans and pricing are displayed on our pricing page. All prices are in GBP and include VAT where applicable.
5.2 Billing cycle
Subscriptions are billed monthly or annually in advance via Stripe. Your subscription renews automatically at the end of each billing period unless cancelled.
5.3 Cancellation
You may cancel your subscription at any time from the dashboard. Cancellation takes effect at the end of the current billing period. Your assistant will be stopped and your data retained for 30 days, after which it is permanently deleted unless you resubscribe.
5.4 Platform credits (Pro plan)
Pro subscribers receive included platform credits for AI usage. Credits are allocated per billing period and expire at the end of that period — they do not roll over. Additional credits may be purchased as top-ups. Credit usage is tracked in real time and shown on the dashboard.
5.5 Refunds
As the Service provides immediate access to cloud resources upon subscription, refunds are generally not available once a billing period has begun. If you believe you have been charged in error, contact aldo@hello.iamcleo.ai and we will review on a case-by-case basis.
6. API keys & Bring Your Own Key (BYOK)
If you provide your own API keys for AI providers, you are responsible for:
- Keeping your keys secure and rotating them as needed
- Any charges incurred on your provider account through use of the Service
- Complying with the terms of service of the relevant AI provider
We encrypt your keys at rest and never log or display them in full. However, we are not liable for any costs or damages resulting from your key usage.
7. Acceptable use
You agree not to use the Service to:
- Violate any applicable law or regulation
- Send spam, unsolicited messages, or bulk automated messages
- Harass, threaten, or abuse others
- Generate or distribute illegal, harmful, or abusive content
- Attempt to bypass usage limits, rate limits, or security measures
- Reverse-engineer, decompile, or disassemble the Service
- Use the Service to build a competing product
- Impersonate another person or entity
- Interfere with or disrupt the Service or its infrastructure
We reserve the right to suspend or terminate your account for violations of these terms, with or without notice.
8. AI-generated content
The AI assistant generates responses using third-party language models. You acknowledge that:
- AI outputs may be inaccurate, incomplete, or inappropriate
- You are responsible for reviewing and using AI outputs at your own discretion
- We do not guarantee the accuracy, reliability, or suitability of any AI-generated content
- AI outputs should not be relied upon for medical, legal, financial, or other professional advice
9. Third-party services
The Service integrates with third-party platforms (Telegram, Discord, Slack, Google, Notion, Stripe, OpenAI, Anthropic, and others). Your use of these services is governed by their respective terms and privacy policies. We are not responsible for the availability, accuracy, or conduct of any third-party service.
10. Data & privacy
Your use of the Service is also governed by our Privacy Policy, which describes how we collect, use, and protect your personal data.
You retain ownership of any content you provide to the Service (configuration, custom instructions, messages). We do not claim any intellectual property rights over your content.
11. Availability & uptime
We aim to provide a reliable service but do not guarantee 100% uptime. The Service may be temporarily unavailable due to maintenance, updates, or circumstances beyond our control. We will endeavour to notify you of planned maintenance in advance.
Your AI assistant runs on AWS Fargate Spot instances. While we automatically handle restarts, brief interruptions may occur during spot reclamation events.
12. Limitation of liability
To the maximum extent permitted by law:
- The Service is provided “as is” and “as available” without warranties of any kind, whether express or implied
- We are not liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service
- Our total liability for any claim related to the Service is limited to the amount you paid us in the 12 months preceding the claim
- We are not liable for any charges incurred on your third-party accounts (AI providers, messaging platforms, etc.) through use of the Service
Nothing in these Terms excludes or limits liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded under English law.
13. Indemnification
You agree to indemnify and hold us harmless from any claims, losses, damages, or expenses (including legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any third party's rights.
14. Account deletion
You may delete your account at any time from the dashboard (Settings → Delete Account). Upon deletion:
- Your AI assistant container is immediately stopped
- Your Stripe subscription is cancelled and customer record deleted
- All personal data is permanently deleted (cascading across all related records)
- OAuth connections are revoked at the provider
- Anonymised audit log entries are retained for compliance
This action is irreversible.
15. Changes to these terms
We may update these Terms from time to time. If we make material changes we will notify you by email or via a notice on the Service at least 14 days before they take effect. Continued use of the Service after changes take effect constitutes acceptance of the updated Terms.
16. Governing law & disputes
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.
17. Severability
If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.
